The following terms and conditions (“Conditions of Sale”) are adopted by QLOCKTWO Inc., a corporation in Springfield, VA. QLOCKTWO Inc. operates the website store.qlocktwo.com/us/. These Conditions of Sale are made available as provided on this Website and shall apply to all sales of products that a Customer (also referred to as ‘you’) may order from QLOCKTWO Inc., (referred to as “QLOCKTWO” or “we”) through the QLOCKTWO’s Website, at: “store.qlocktwo.com/us/” (the “Website”). By ordering any product from our Website you agree to the Conditions of Sale set out hereinafter. These Conditions of Sale apply only to sales made through this website or through QLOCKTWO‘s Customer Service. Sales conducted through our distributors, retail partners or boutiques are not subject to these Conditions of Sale. QLOCKTWO may modify the Conditions of Sale from time to time, within its sole discretion. The Conditions of Sale applicable to any order placed through this website are those in force at the time that an order is placed.
2. ELIGIBILITY TO PURCHASE
Only individuals who (a) have reached the age of majority (eighteen in most states) may order products through the Website. If you are under the age of majority or otherwise unable lawfully to enter into a contract, you must have your parent or guardian place an order on your behalf and agree to these Conditions of Sale. Any orders placed in violation of this provision shall be null and void. By placing an order through the Website, you represent that you are a true end user of the product and will not sell or distribute QLOCKTWO products or purchase QLOCKTWO products for commercial purposes. If QLOCKTWO believes, in its sole discretion, that an order would violate the terms of the preceding sentence or that the Customer is engaging in purchasing goods for re-sale, then QLOCKTWO may refuse such order.
3. PRODUCT AVAILABILITY & ALLOWABLE QUANTITY
All orders placed through the website are subject to availability and acceptance by QLOCKTWO. QLOCKTWO reserves the right to refuse any order at its sole discretion. QLOCKTWO reserves the right to change the assortment of items on the website and may limit from time to time the quantity of products that may be ordered by a Customer in a single buying session. Currently, an order may not exceed five (5) timepieces. The product pages of the website can provide you with information regarding products that are currently available for sale. You may also call the Customer Service Center – +1 714 280 4755 - and a QLOCKTWO representative will provide you with further information as to product availability and assist you with your order.
4. ACCOUNT REGISTRATION; PERSONAL INFORMATION; GUEST CHECKOUT
If you are ordering on the website, orders will be processed as follows: Once you have chosen a product, click on the “ADD TO CART” button to place this product in your shopping cart. You may then decide to continue shopping for other products and add them to your order or proceed to checkout by clicking on “GO TO CHECKOUT”. You may also remove one or several products you have selected by clicking on "X" next to the chosen product in the order. When you have finished please review your order, then click on the “GO TO CHECKOUT” button on the website to complete and finalize your order. Once an order has been placed it cannot be cancelled anymore. All orders are binding. When placing an order through the website, you will be required to provide other personal information, including: shipping address, billing address and payment details. You warrant that all personal information given to QLOCKTWO is correct. QLOCKTWO or its third-party providers may collect additional information for security and anti-fraud purposes. At any time, QLOCKTWO reserves the right to refuse, cancel and terminate orders at its sole discretion. For example, QLOCKTWO may refuse, terminate or cancel your order if there is an ongoing dispute concerning payment of a prior order or if QLOCKTWO suspects, in its sole discretion, of violation of these Conditions of Sale.
6. PRICES, TAX AND SHIPPING COSTS
All prices shown on the product pages of the website are in US Dollar currency. QLOCKTWO reserves the right to modify prices at any time without prior notice. The price of a product displayed on the website at the time QLOCKTWO provides you with a Confirmation of Order, will be honored by QLOCKTWO. Any applicable sales & use taxes will be reflected on your order page before you confirm and place your order, and will also appear on your Confirmation of Order and invoice (if you choose to receive an invoice). Delivery costs, if any, are described in the shipping policy set forth below. Sales and use taxes will vary based on the location to which products are being shipped. These applicable taxes are not stated on the product pages but will be added to the product price after you add the shipping address. The total amount can be reviewed before you confirm your final order by clicking “PLACE ORDER”.
7. REVIEW & CONFIRMATION
You should carefully check all details before placing your order through the website, including without limitation the particulars of each sale, which will be provided to you before you click CONFIRM on the website. Once the order is completed, it is binding and cannot be cancelled by you anymore.

Following the completion by QLOCKTWO of its anti-fraud and security checks, QLOCKTWO will send you by e-mail the Confirmation of Order which will contain an Order Number created by QLOCKTWO. Please make sure that you save this Order Number for future enquiries. This Order Confirmation will constitute the acceptance of your order by QLOCKTWO. After providing you with the Confirmation of Order QLOCKTWO will be obliged to fulfil the order.
10. DELIVERY OPTIONS
We only accept orders for delivery to addresses in the continental United States, District of Columbia, Alaska & Hawaii. Please note that QLOCKTWO does not ship to Post Office boxes, military addresses or to hotels.
11. SHIPPING POLICY
We will use reasonable efforts to ensure that your order is shipped out as soon as product is available. Once payment is cleared and order is shipped you will receive Order Shipped notification that will provide you with a tracking number or approximate time of delivery. QLOCKTWO does not guarantee to meet a special delivery date. The failure to deliver any product within provided approximate time of delivery does not constitute a breach of the Conditions of Sale nor a default. Please note that in exceptional cases, the delivery may be delayed if you have requested bracelet changes. In such cases, the Customer Contact Center will contact you to propose other arrangements. When ordering products on the website, you will receive an invoice to your billing address or by e-mail to the e-mail address shared during check-out. We require a signature by an adult to confirm your acceptance of each product delivered, at which point, responsibility for your purchased goods passes to you. If you have specified a recipient who is not you for delivery purposes (for example as a gift) then you understand and accept that evidence of a signature by such recipient (or at that delivery address) shall be evidence of delivery and fulfilment of the sale by QLOCKTWO and transfer of responsibility to the recipient in the same way as if the product had been delivered to you.
RETURNS FOR WEBSITE PURCHASES
If for any reason you are not satisfied with your purchase, we will exchange it or take it back for a full refund within 14 days after you have received your order as set forth in Section MANDATORY PROCEDURES TO RETURN A PRODUCT TO QLOCKTWO below. Please contact us by email or with the attached revocation form . within 14 days after you have received your order for return instructions. QLOCKTWO will bear return shipping costs. We will respond to your request within 2 business days. Please do not send the item back without prior contacting QLOCKTWO, as this will delay processing time.Items must be returned in their original condition, new and unworn, to qualify for an exchange or full refund. In the case of a return to QLOCKTWO which satisfies the above conditions, QLOCKTWO will use best efforts to issue a credit note to the Customer no later than fourteen (14) days after receipt of the returned item by QLOCKTWO. We will notify you after we have received your return and processed your request. Please allow refunds and credits 24 hours to post to your credit card or paypal account. Please inform us of any delay. Please note that a Customer may not exchange a product purchased online to a QLOCKTWO retail boutique and no merchandise credit can be issued. Boutique merchandise credits can only be applied to products purchased in a retail boutique and cannot be applied to products purchased through the website.
MANDATORY PROCEDURES TO RETURN A PRODUCT TO QLOCKTWO
If a Customer or Gift Recipient wishes to exchange or return a product, then such person must comply with the following steps: >
i) Contact the Customer Contact Center at firstname.lastname@example.org or 571-642-5441 or send us the filled revocation form to request a Return Label. ii) Include the completed revocation form, if used, with the product, all its accessories in its original box and delivery package, in order to receive full credit. iii) Seal the delivery. iv) Bring the package to any UPS/FedEx location or call UPS/FedEx to arrange pick-up. v) Charges will apply if all contents are not returned and you shall be responsible for the cost of insuring and shipping the product (unless it is found to be defective) back to QLOCKTWO. The Customer must keep proof of return shipment. If any return shipment is lost by carrier, QLOCKTWO accepts no liability. Upon receiving a product for exchange, QLOCKTWO will verify that the product satisfies the conditions to permit an exchange and, if so, will then proceed with the exchange. To accept an exchange, a QLOCKTWO product must be returned in the exact same condition as received by the Customer, (new and unused condition) with packaging in the same condition in which the item was received, with all protective materials in place and tags and stickers attached to them. QLOCKTWO will not accept any exchange if the product shows signs of wear, or has been used or altered from its original condition in any way. All products returned for exchange shall be subject to strict inspection by QLOCKTWO to ensure that the returned products satisfy these requirements. If the products do not satisfy the above standards, QLOCKTWO will refuse the exchange, and the products will be sent back to the Customer. In this case, the costs for reshipment of the products to Customer will be borne by the Customer. If the product satisfies the above requirements, QLOCKTWO will proceed with the exchange.
PROCESSING OF EXCHANGED MERCHANDISE BY QLOCKTWO
Customers and Gift Recipients may also be permitted to exchange a product purchased on the website for another QLOCKTWO product if the product to be exchanged satisfies the conditions set out in the provisions MANDATORY PROCEDURES TO RETURN A PRODUCT TO QLOCKTWO above. Upon choosing the new product, QLOCKTWO will send a new invoice to the Customer, which specifies the value of the returned product, the price of the item for which the original product has been exchanged and the difference to be paid by Customer or the balance amount that the Customer is entitled to receive as a credit note, following the difference applicable between the original and new product. .
QLOCKTWO exercises caution in ensuring that its products strictly comply with our quality criteria and that they have passed all our controls, both technical and aesthetic. If nevertheless you receive a product, which seems to be defective, you may return it to QLOCKTWO in accordance with the exchange policy. Please note that items that are damaged as a result of wear and tear are not considered to be defective.
90 Day Exchange Policy – Defective Products Only
If you believe you have a defective product, please contact us at email@example.com or 571-642-5441. Defective products may only be exchanged within 90 days of purchase. In order to process your exchange, we will need your order number, description of your setup (including photos if available), and any other information about your use of the product that may help us understand the potential defect. In the event that a product is determined to be defective due to a manufacturer error or defective materials, we will repair or exchange the product as needed. If QLOCKTWO determines that repair or replacement of a defective product is not practical, we will provide a refund.Depending on where you live, the time it may take for your repaired/replacement product to reach you may vary.
Damaged in Shipment
Be sure to inspect your product once you receive it. Any damage from shipping must be reported to QLOCKTWO within 14 days of receipt of the product. If you receive your product and it has been damaged during shipment, please email us at firstname.lastname@example.org or call +1 714 280 4755 right away. Include a description of the damages, and include pictures if possible. This information is extremely helpful to us in making sure that our products are packaged and shipped properly. We will arrange for the damaged products to be replaced.

If you purchase a QLOCKTWO product as a gift for a Gift Recipient, you will be obliged to declare the purchase as a gift, by specifying this in the final order form. During the order procedure, you will have the option to choose whether you wish to receive an invoice. If you choose to receive an invoice, QLOCKTWO will send such invoice to your billing address by e-mail.
15. ACCURACY OF PRICING, PRODUCT DESCRIPTIONS
While QLOCKTWO endeavours to verify the accuracy of any information it places on the website, or in advertisement, it makes no warranties, whether express or implied, in relation to the accuracy, reliability and completeness of such information. QLOCKTWO does not confirm the price of a QLOCKTWO product until a confirmation of order has been issued by QLOCKTWO. If a QLOCKTWO product’s correct price is higher than the price posted on our website, then QLOCKTWO will either contact the customer for instructions before shipping the order or cancel the order and notify you of such cancellation. While every effort will be made to ensure that the descriptions, photographs or graphical representations of the QLOCKTWO products displayed on the website or in a catalogue are as accurate as possible, QLOCKTWO does not warrant that such materials or other content is error-free, whether as a result of inaccuracy, omission, obsolescence or otherwise. Accordingly, the customer’s sole remedy in the event of any such error is to return the product as set forth in our return policy.
16. WARRANTY AND LIMITED LIABILITY
The warranty given to Customer by QLOCKTWO is limited to the conditions set out in the Manual that the Customer receives with the product. No further warranties are granted. Exempt for cases of deliberate intention and gross negligence QLOCKTWO shall not be liable for any damage, including but not limited to special, incidental punitive, indirect, consequential or exemplary damages of any kind (including, but not limited to, loss of profits, loss of data or loss of use damages) arising in connection with the products sold to Customer.
17. ENTIRE AGREEMENT
18. NO WAIVER
No waiver by us shall be construed as a waiver of any of such provisions or of the rights of QLOCKTWO or the right to enforce such provisions, proceeding or to enforce its rights for any succeeding breach of any provision.
19. GOVERNING LAW
The Conditions of Sale shall be exclusively governed, construed and enforced in accordance with the substantive laws of the state of California, without regard to the conflict of law provisions thereof. Any dispute, controversy or claim arising out of or in relation to the Conditions of Sale, including the validity, invalidity, breach or termination thereof or any QLOCKTWO product purchased through the website will be resolved exclusively by the courts of the state of California, USA, at QLOCKTWO’s principal place of business.
